End-User License Agreement (EULA)

Product: QueryWell (the "Software") Licensor: Elaman Group Ltd, registered in England and Wales (company no. 15708144) ("we", "us", "our") Effective date: 19 July 2026

By installing, activating, or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software. If you are accepting on behalf of an organisation, you represent that you have authority to bind it.

1. Licence grant

Subject to your compliance with this Agreement and payment of the applicable licence fee, we grant you a non-exclusive, non-transferable, perpetual licence to install and use the Software on the number of seats (named users or devices) covered by your licence, for your internal business purposes. The licence is perpetual and does not expire; it may be terminated only as set out in Section 10 (Termination). Your licence key also identifies the capability tier you purchased: QueryWell Studio or QueryWell Studio + AI.

2. Licence term, activation, and optional support

The Software is licensed, not sold. Your licence is granted on a one-time, perpetual basis: once purchased and activated it does not expire. The Software The Software requires a valid licence key for activation. The key is verified locally against a public verification key embedded in the Software and is not sent to us. Packaged builds may contact querywell.app to check for updates and send the limited version, platform, licence-identifier and install metadata described in the Privacy Policy. An update-check failure does not block activation or use and does not revoke your perpetual right to use the version(s) of the Software you have licensed.

Support, updates, and new versions may be offered under an optional support and maintenance plan ("SLA") purchased alongside your licence or separately. If you do not purchase or renew that plan, your perpetual licence to the version(s) you already hold continues, but you may no longer be entitled to support or to updates and new versions released after your plan lapses.

3. Restrictions

You may not, and may not permit others to: (a) copy, modify, or create derivative works of the Software except as expressly permitted; (b) reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits despite this limitation; (c) rent, lease, lend, sell, sublicense, or provide the Software as a service to third parties; (d) circumvent or disable licensing, activation, or security features; or (e) remove or alter any proprietary notices.

4. Ownership

We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement grants no rights other than the licence expressly stated.

5. Customer data and connections

The Software is a local desktop application. You are responsible for your use of it, including the credentials you supply and the systems you connect it to (such as your Oracle® Fusion® Cloud environments). You represent that you are authorised to access those systems and the data you retrieve. We do not receive, store, or process your Fusion credentials or Studio query results. If you use the AI Workbench, the Software sends content directly to the AI provider you configure; see the Privacy Policy.

6. Third-party services and platforms

The Software interoperates with third-party systems, including Oracle Fusion Cloud and, if you enable the AI Workbench, the AI provider you configure. Those systems are governed by their own terms, privacy policies, usage charges and data-handling settings. You are responsible for selecting an approved provider and for reviewing AI-generated SQL, reports and narrative before relying on or distributing them. We are independent and not affiliated with, endorsed by, or sponsored by Oracle Corporation. Oracle and Fusion are trademarks of their respective owners.

7. Updates

We may provide updates and new versions, which are governed by this Agreement unless accompanied by separate terms. Access to updates and new versions may depend on an active support and maintenance plan (see Section 2). We may modify or discontinue features over time.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL MEET YOUR REQUIREMENTS. You are responsible for validating any data and reports the Software produces before relying on them.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SOFTWARE. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID FOR THE SOFTWARE LICENCE, PLUS ANY SUPPORT AND MAINTENANCE FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Termination

Your perpetual licence does not expire and will not terminate merely because an optional support and maintenance plan ends or is not renewed. This Agreement and your licence terminate only if you materially breach this Agreement and, where the breach is capable of cure, fail to cure it within a reasonable period after notice. On termination you must stop using and remove the Software. Sections that by their nature should survive (ownership, disclaimers, limitation of liability, governing law) survive termination.

11. Governing law

This Agreement is governed by the laws of England and Wales, without regard to conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction, subject to any non-waivable consumer rights you may have where you reside.
